Baker & McKenzie Partner Helps Draft New CIS Model Law “On Joint-Stock Companies”


Moscow, 24 November 2010 — Baker & McKenzie corporate/M&A and banking & finance partner Max Gutbrod recently assisted with the drafting of the new Model Law “On Joint-Stock Companies” as a member of the Interparliamentary Assembly of the CIS Member Nations (IPA CIS) special working group. It operated with the technical and financial assistance on the part of the European Bank for Reconstruction and Development (EBRD) secured with the funding of the Government of Germany and supported by GTZ (Gesellschaft für Technische Zusammenarbeit) International Services.

The new Model Law was adopted at the 35th plenary session of the IPA CIS in St. Petersburg. It is a huge improvement over the previous version, which appeared nearly 15 years ago.

“The new Model Law focuses on adapting some of the most recent developments in global and European corporate legislation to the realities and needs of CIS countries,” said Mr. Gutbrod. “In particular it contains specific rules on the registration of companies, disclosure of information, holding shareholders meetings, corporate disputes and liquidations. We hope that the new Model Law will provide worthwhile guidance to lawmakers throughout the CIS.”

Mr. Gutbrod is a highly experienced lawyer in M&A, financing and restructuring. He has served as managing partner in the Firm’s CIS and Moscow offices from 2000 - 2003. Mr. Gutbrod is a frequent speaker on banking and finance, currency control, as well as other related issues. He has also written numerous articles on Russian, German and international business law, including the WTO, privatization, securities transactions, banking and energy.
